ASIAN MEDICAL'S SERVICES would be offered to you on an exclusive
sales commission basis.

Depending on your dealer prices, we would earn up to 15% of the Ex-Works
value of each purchase order you receive from the dealers in Asia.

Asian Medical, Inc. would be responsible for all our expenses, including:

     travel
     telephone
     entertainment
     and other incidentals
           

Asian Medical, Inc. would act as an independent commission sales
representative for your company.
